Business Valuation – Proposed Changes to Section 2704 Regulations – What You Need To Know

Issued in August 2016, the proposed regulations under Section 2704 are likely to have significant ramifications on both the valuations conducted for gift and estate tax purposes, as well as the types of planning strategies implemented. We will discuss the potential impact of the proposed regulations on the valuation of investment partnerships and operating businesses, and will highlight some potential unintended economic consequences. The appropriate takeaway might not be as simple (or impactful) as the elimination of discounts for lack of control and lack of marketability.
